Code of Conduct

Issue of TAKENAKA Code of Conduct

It has become apparent from substantial changes to the social environment, including the diversification of the stakeholders, that corporate activities should now be conducted based on shared values with society, and that corporate social responsibility has become more important to society.
In recognition of such changes and considering that our Management Philosophy should be in line with our social responsibility, we have developed the Takenaka Code of Conduct which is based on our Company Policy.
Putting the Takenaka Code of Conduct into practice will result in each executive and employee striving to achieve corporate social responsibility thereby contributing to the development of a sustainable society.

TAKENAKA Code of Conduct

Acquiring the Satisfaction of Customers and the Trust of Society

Airticle 1 Create "attractive Works with safety and security" that satisfy customers, and acquires the trust of society.
1-1 Create appealing "architecture and services" that have additional value by precisely understanding customer needs while at the same time systematically mobilizing wisdom, know-how and technical capability, and demonstrating the diverse sensitivities of each individual.
1-2 Achieve building production and processes that are friendly to society and the environment whilst simultaneously achieving building safety and security to the levels that society demands.
1-3 Put individual craftsmanship into actual practice, by going and seeing in real time.
1-4 Build and strengthen partnerships with business partners and integrate quality into each process based on mutual trust.
1-5 Sustain the value of buildings by supporting customers throughout the life cycle of their buildings.

Compliance with laws and social norms

Airticle 2 Comply with laws and other social norms, carry out fair, transparent and free competition, and proper trade, and conduct conscientious corporate activities.
2-1 Participate in fair and transparent market competition by demonstrating planning, design and technological capabilities.
2-2 Comply with antimonopoly and related laws while preventing improper bid behavior and the abuse of dominant bargaining positions.
2-3 Promote purchasing activities based on our procurement policy.
2-4 Create and utilize intellectual property while respecting internal and external intellectual property rights.
2-5 Maintain a highly transparent relationship with politicians and officials and carry out constructive dialog such as policy proposals, expressing opinions, etc.

Disclosure and protection of information

Airticle 3 Interact extensively with society and disclose corporate information actively and fairly. In addition, protect and properly manage all types of information obtained through business activities.
3-1 Establish an information disclosure policy, and disclose corporate information required by society in a timely, appropriate manner.
3-2 Promote interactive communication with a broad range of stakeholders through publicity, dialog and other activities.
3-3 Strive to prevent insider trading.
3-4 Maintain and improve information security related to personal and customer information.
3-5 Take technical and physical safety management measures in the transmission of information.

Respect for human rights and improvement of the working environment

Airticle 4 Create a workplace where diversity and individuality are respected, and ensure a safe and comfortable environment, thereby providing a sense of affluence and confidence, and supporting personal growth.
4-1 Ensure equal opportunity without any discrimination by nationality, gender, age, etc. in the implementation of human resources management.
4-2 Promote a work-life balance and establish a personnel and reward system that encourages personnel to demonstrate their abilities.
4-3 Respect the individuality of employees, and develop an education system that supports their efforts to develop their career and capability.
4-4 Establish a safe and comfortable work environment, and at the same time support health promotion.

Contribution to global environment

Airticle 5 Grasp common challenges to humanity in a way that leaves a beautiful Earth to the future, and independently strive for space creation that is in harmony with the environment and connects people with nature.
5-1 Promote the creation of environmentally friendly architecture, improvement of environmental performance, and lowering of environmental loads to achieve a low carbon society.
5-2 Promote 3R※ activities that expand the recycling of construction waste for contributing to the creating of a resources recycling society.
5-3 Promote efforts for the preservation of biodiversity and sustainable use of bioresources.
5-4 Take measures against the risk of environmental pollution and environmental load, etc. that are caused by our business activities.

Contribution to society

Airticle 6 Proactively conduct activities to contribute to society as a good corporate citizen, with activities that best utilize "the spirit of craftsmanship, knowledge and technology," which is fostered through business activities.
6-1 Strive for spread and development of our knowledge and technology through personnel contributions to support academic societies and educational institutions, and the demonstration of our works and technologies.
6-2 Communicate with, and maintain and develop good relations with the community through activities in our workplace.
6-3 Make efforts to link with and cooperate with NPO's and NGO's.
6-4 Promote and disseminate architectural culture, personnel education and support research through corporate foundations.
6-5 Support social contribution activities that are conducted by employees.

Prevention of relations with any antisocial forces or organizations

Airticle 7 Resolutely confront antisocial forces or organizations that pose a threat to the order and security of civil society and prohibit all relations with such individuals and groups.
7-1 Collaborate with organizations concerned with the elimination of antisocial forces.
7-2 Ensure the signing of a memorandum with cooperating companies concerning "organized crime exclusion clauses."
7-3 Ensure that the response to antisocial forces is completely understood by all employees.
7-4 Pay attention constantly to determine whether or not other parties are antisocial forces.

Respect for international norms and contributions to each country and region

Airticle 8 In line with the globalization of business activities, comply with laws and regulations of the countries and regions where business operations are based, and respect human rights and other international norms of behavior. Also, consider the local culture and customs as well as the interests of stakeholders, and contribute toward the development of the local economy and society.
8-1 Comply with the laws and social norms in each country and region in the deployment of global business while respecting international norms and rules. In particular, firmly prevent child labor or forced labor.
8-2 Respect local customs and culture of each country and region, and promote business activities on the basis of mutual trust with local stakeholders.
8-3 Strive to turn the management team into a local operation and build an appropriate work environment in line with the circumstances of each country and region.
8-4 Pay attention to whether overseas business counterparts discharge their social responsibilities, and if necessary give them assistance to make improvements.
8-5 Do not give gifts to or entertain foreign public officials for the purpose of obtaining illicit gains.

Implementation system, and education and enlightenment

Airticle 9 Top management shall recognize their personal role in the practice of corporate activities in accordance with this Code of Conduct. They shall provide skilled leadership and shall understand the views of internal and external stakeholders, and devise education and instruction for this Code of Conduct by the establishment of an effective company system.
9-1 Promote CSR by making this Code of Conduct thoroughly known and effectively used with leadership from top management.
9-2 Set up education and instruction to promote CSR throughout the entire corporate group.
9-3 Implement activities that stimulate CSR efforts including business partners in supply chains.
9-4 Set up a consultation and notification service independent from the regular chain of command and make use of the facility in order to improve corporate behavior.
9-5 Evaluate and enhance the operational situation of companywide efforts periodically based on this Code of Conduct.

Action against violations

Airticle 10 In case this Code of Conduct is violated, top management shall personally take charge to investigate the situation, determine the cause of infringement and make efforts to prevent the reoccurrence of similar violations in the future. At the same time, top management should promptly make full public disclosure, explain what has occurred, and upon determining the source of competence and responsibility, impose strict disciplinary action against those held responsible, including top management itself.
10-1 Set up an internal system, from the viewpoint of risk management, to prevent emergency situations from occurring.
10-2 When an emergency situation occurs, promptly conduct an investigation under the leadership of top management, determine the facts and causes, and adopt responsible and appropriate policies and measures as a corporation to handle the situation.
10-3 Top management shall take prompt action to provide the public with an explanation of the relevant facts, the policies adopted to address the matter and the measures taken to prevent recurrence.
